About this exercise
Compare version 1 (our paper) with version 2 (the buyer's redline). Write a markdown table of only the changed terms, with columns Term, v1, v2, For counsel. For counsel is Yes for legal-risk terms (liability, renewal, termination, governing law) and No for commercial terms (price, payment). Sort the rows alphabetically by Term. Add a last line "Unchanged: [terms]". Do not give legal opinions or recommend accepting or rejecting anything. Under 100 words.
Common mistakes when you ask AI for this
- Listing unchanged terms in the table. The AI shows every row of the comparison. Try: Add: "Table of changed terms only; unchanged ones go on the last line."
- Giving legal opinions. The AI says the 24-month cap is risky or unacceptable. Try: Add: "No legal opinions and no accept/reject recommendations."
- Misrouting commercial terms. The AI flags price or payment for counsel. Try: Add: "For counsel is Yes only for liability, renewal, termination and governing law."
- Extra text. The AI adds a negotiation plan. Try: Add: "Table plus the Unchanged line only, under 100 words."
